By using, accessing and/or browsing our website(s) in any way, by using any of our online products or services, collectively termed as (“Services”), you agree to be in acceptance of this Agreement and agree to fully comply with and be bound by this Agreement. In no event shall StraNexus or any of its partners, agents or employees, be liable for any direct, indirect, incidental, special, punitive, exemplary, consequential or other damages (including but not limited to, liability for loss of use, data or profits), without regard to the form of any action, including but not limited to, contract, negligence or other tortious actions, arising out of or in connection with the Site, any content on or accessed by use of the Site, or any copying, display or other use.
Proprietary information: All content on the Site (including but not limited to StraNexus name, our logo, any concepts, ideas, methods, courses, procedures, processes, know-how, techniques, programs, assessment tools, publications, models, products templates, technologies, software, designs, art work, graphics and information on or described in the Site) is copyrighted, proprietary and subject to intellectual property or other rights, which rights are owned by StraNexus and/or other third parties. Any unauthorized use of any materials on the Site will violate copyright, trademark, applicable intellectual property or other rights and laws.
Materials on the Site may not be modified, reproduced, publicly displayed, performed, distributed or used for any personal, public or commercial purposes without explicit written permission from StraNexus and applicable third-parties. StraNexus bears no risk, responsibility or liability in the event that a user does not obtain such explicit written permission as advised by StraNexus. Use of StraNexus name, logo and other copyrighted information and trademark for any use whatsoever requires express prior written permission from an authorized management or executive level signatory of StraNexus. Unauthorized use of these and any other StraNexus’ portfolio of trademarks, and proprietary information described above is prohibited to the fullest extent of the law.
Use of Site and content of areas not requiring registration: The use of our website and its content does not grant you any proprietary or any form of ownership rights to the content. Subject to this Terms of Service Agreement, for the use of sections on the Site that do not require registration and/or a user id provided by StraNexus, StraNexus hereby grants you a limited, revocable, non-transferable, and non-exclusive license to use the Site and its content, to the extent, and only to the extent, necessary to access and obtain preliminary information about StraNexus and/or its services, in order to determine to initiate contact with StraNexus.
Users are permitted and encouraged to share the website link and/or a particular webpage link of sections that do not require access via registration and/or a user id, via online platforms (e.g., via link on a social network) provided that:
- The use of the content is personal and non-commercial.
- All copyright, trademark and similar notices are retained.
- The content is not used as or implies that StraNexus or partner firm is providing a testimonial or endorsement of an organization, its products or services.
- Content is not copied, but rather a link to the StraNexus page with description of the content is shared which has the actual content
Third-party links are provided as a convenience to our users. StraNexus does not control and is not responsible for any of these sites or their content. StraNexus vigorously protects its reputation and trademarks and StraNexus reserves the right to request removal of any link to our web site.
The following web link activities are explicitly prohibited by StraNexus and may present trademark and copyright infringement issues:
- links that involve unauthorized use of our logo
- a form of link that disguises the URL and/or bypasses the homepage or pages containing the entity legal and online policy statement.
Use of Site and content of areas requiring registration: For the use of sections on the Site that require registration, subject to this Terms of Service Agreement, StraNexus hereby grants you a limited, revocable, non-transferable, time-limited, and non-exclusive license to use the content through a provision of a user identification login by StraNexus (“User ID” or “login”), to the extent, and only to the extent, necessary to access and use the services in accordance with the terms of this Agreement, and only for the duration period specified for in your user ID. This limited license does not permit you, and you agree not to: store, copy, reproduce, republish, modify, upload, post, translate, scrape, rent, lease, loan, sell, distribute, transfer, transmit, display, decompile, reverse engineer, reverse assemble, decipher or otherwise attempt to discover any material, training content, graphics, videos, text, any programming code or any source code used in or with the content or otherwise distributed in any way with the content other than as specifically permitted in this Agreement. Any use of the content and/or Services for any purpose other than as specifically permitted herein or without any prior consent or the prior written consent jointly of StraNexus and of our licensors, as applicable, is expressly prohibited. We reserve all rights not expressly granted in this Agreement.
We will provide you one User ID or Login for each account held by you, thereby permitting you access to the content on one computer at a time through the Site. You agree to fully and accurately provide the information requested by us when setting up your account and to regularly update such information. Your failure to do so may result in the cancellation of your account and loss of respective Services and access to registered area. You further agree not to provide your User ID to anyone including your employees or coworkers; each individual will be provided a separate user ID even if you purchase them as a group for your company. For each User ID, once respective payment has been processed in full for an online course or service, you will be provided time-limited online access to the respective online course or service. Once your time period for the course has expired, you are welcome to renew for another period (e.g. 1 year) by paying the appropriate renewal licensing fees.
As part of the Services, solely at our discretion, we may provide you with a trial User ID which may give you limited or otherwise access to our online course(s) and/or Service(s) on a limited time sensitive basis.
Feedback and testimonials: Any questions, comments, suggestions, ideas, testimonials, feedback, or other information provided by you to us (“Feedback and Testimonials”) with respect to our Site or Services are not confidential, which in turn helps us to continue to provide better services, and you hereby grant us a worldwide, perpetual, irrevocable, royalty-free license to reproduce, display, perform, distribute, publish, modify, edit or otherwise use such Feedback and Testimonials as we deem appropriate, for any and all commercial and/or non-commercial purposes, in our sole discretion. You further agree that only Feedback and Testimonial that is clearly marked in writing as ‘Confidential’ by you while submitting such Feedback and Testimonial will be kept confidential and shared only with StraNexus employees, affiliates, staff, partners, associates, consultants and trainers for the purpose of understanding and deciding to take due action on it if deemed appropriate by StraNexus.
Lawful compliance: You agree to comply with all applicable worldwide laws and statues regarding the use of our Site, content, Services, and any information provided therein.
Indemnity: You agree to indemnify, hold harmless, and defend StraNexus and its affiliates, associates, alliances, directors, employees, subsidiaries, successors and assigns (collectively “them”, or “indemnified parties”) from and against all liability, loss, claim, damages, expense, or costs (including but not limited to attorney’s fees), incurred by or made against them in connection with any claim arising from or related to the use by you (or anyone using your user ID’s, or anyone using your computer) of the Site, Services or any content. This includes, but is not limited to, any breach or violation of this Agreement by you or anyone utilizing your User ID or anyone utilizing your computer. You agree to fully cooperate at your expense as reasonably required by an Indemnified Party. Each Indemnified Party may, at its election, assume the defense and control of any matter for which it is indemnified hereunder. You shall not settle any matter involving an Indemnified Party without the consent of the applicable Indemnified Party.
Amendments: In our sole discretion, we reserve the right to modify or replace any part of this Agreement at any time, effective upon the date of the amendment. In the event of any such amendment, we will post a notice on the Site that we have changed this Agreement. We encourage you to frequently visit this page to monitor any changes. Your continued use of or access to the Services following the posting of any amendment to this Agreement constitutes acceptance of those changes.
Other:
- If any portion of this Agreement is found to be unenforceable, the remaining portion will remain in full force and effect.
- If we fail to enforce any of this Agreement, it will not be considered a waiver.
- Any amendment to or waiver of this Agreement must be made in writing and signed by the signing authority at StraNexus, at a minimum the Chief Executive Partner and the Legal personnel
- You will not transfer any of your rights or obligations under this Agreement to anyone else without our prior written consent.
